Terms & Conditions

These Terms & Conditions ("Terms") govern the use of www.monxtech.com (the "Website") and the engagement of services offered by Zsolv Software Solutions Private Limited, operating under the brand MonxTech ("Company", "we", "us", "our"), a company incorporated in India (CIN: U62099TZ2025PTC034834).


By using the Website or engaging our services, you agree to these Terms.

1. Services

We provide software consulting and development services, including but not limited to: Zoho ecosystem consulting, implementation, and customisation (Zoho CRM, Zoho Creator, Zoho Analytics, and related applications); custom software and widget development; AI and workflow automation; systems integration; and ongoing support and retainer services (collectively, the "Services").


The specific scope, deliverables, timelines, and fees for any engagement are defined in a written proposal, statement of work, or service agreement agreed between the Company and the client ("Engagement Terms"). In case of conflict between these Terms and the Engagement Terms, the Engagement Terms prevail for that engagement.

2. Fees and Payment

  • Fees are quoted per project, milestone, retainer, or subscription, as set out in the Engagement Terms, and are stated in the agreed currency (e.g., USD, GBP, AUD, or INR).

  • Invoices are payable within the period stated on the invoice. Recurring retainer or subscription fees are charged in advance for each billing cycle.

  • Payments are processed through our authorised payment partners (including Razorpay and PayPal) or by bank transfer to the account details stated on the invoice.

  • For clients outside India, our services constitute an export of services from India; applicable Indian GST is zero-rated under our Letter of Undertaking. Clients are responsible for any taxes, duties, or levies applicable in their own jurisdiction.

  • Late payments may result in suspension of Services and/or interest as permitted by applicable law.

3. Client Responsibilities

The client agrees to provide timely access, information, approvals, and system credentials reasonably required for us to deliver the Services, and warrants that it has the authority to grant such access.

4. Intellectual Property

  • Unless otherwise agreed in the Engagement Terms, deliverables created specifically for the client are assigned to the client upon full payment of the applicable fees.

  • The Company retains ownership of its pre-existing materials, tools, frameworks, know-how, and generic components, and grants the client a non-exclusive licence to use them as incorporated in the deliverables.

  • Third-party platforms and products (e.g., Zoho, Twilio, Razorpay) remain governed by their own licence terms.

5. Confidentiality

Each party agrees to keep the other party's non-public business, technical, and financial information confidential and to use it only for the purposes of the engagement. This obligation survives the end of the engagement.

6. Warranties and Disclaimer

We perform the Services with reasonable skill and care consistent with industry standards. Except as expressly stated, the Services and Website are provided "as is", and we disclaim all other warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation of third-party platforms on which solutions are built.

7. Limitation of Liability

To the maximum extent permitted by law, the Company's aggregate liability arising out of or related to any engagement shall not exceed the fees paid by the client for the Services giving rise to the claim during the three (3) months preceding the event. The Company shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data.

8. Term, Suspension, and Termination

Either party may terminate an engagement in accordance with the Engagement Terms. Retainer and subscription services may be cancelled as described in our Refund & Cancellation Policy. We may suspend or terminate access to Services for non-payment or material breach.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Courts at Coimbatore, Tamil Nadu shall have exclusive jurisdiction, subject to any dispute-resolution mechanism agreed in the Engagement Terms.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms.
